Clause 27 - Delegation
A. Whenever any power, duty or discretion is conferred or imposed upon the Managers by virtue of these Terms & Conditions, such power, duty or discretion may, subject to any terms, conditions or restrictions contained in these Terms & Conditions, be exercised by any one or more of the Managers or by any servant or agent of the Managers to whom the same shall have been delegated or sub-delegated.
B. Whenever any power, duty or discretion is stated in these Terms & Conditions to be vested in the Directors, such power, duty or discretion shall be exercisable by the Directors unless the same shall have been delegated to any Committee of the Directors or to the Managers or to the Members’ Committee in accordance with the provisions as regards delegation contained in the Articles, in which event the power, duty or discretion may be exercised by any person to whom the same shall have been so delegated.
