Update on Merger Discussions and Management Company Proposal
Further to the announcement in November 2025 that the UK P&I Club and TT Club had entered into merger discussions, the Boards are pleased to confirm that those discussions continue to progress positively.
Over recent months, both Boards have continued their work to assess how a combined organisation could best support Members across the maritime and transport sectors. The strategic visions of the UK P&I and TT Clubs are closely aligned, with both parties focussed on providing exceptional service to Members, delivering growth, efficiency and improving financial stability.
Proposal to Acquire Thomas Miller
In addition to the ongoing merger discussions, the Boards of the two Clubs have jointly submitted a non-binding proposal to acquire the entire issued share capital of the Clubs’ Manager, Thomas Miller Holdings.
This joint proposal has been presented to the Thomas Miller Holdings Board, and discussions are in course. No binding agreement has been reached at this stage.
Both Club Boards are confident the proposed acquisition of Thomas Miller would further support the long-term strategic ambitions of the Clubs, including organisational alignment and efficiency.
In due course, the Clubs will engage with Members to confirm their support for the merger with the TT Club and the associated acquisition of Thomas Miller Holdings. Members with questions should contact their usual Club representative.
